1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the IntractMD™ platform, including www.intractmd.com, www.intractmd.com/proactive, and www.intractmd.com/clinical (collectively, the "Platform"), and all content, features, and services made available through the Platform by Resolve Medical, LLC, a Delaware limited liability company with its principal place of business in Cleveland, Ohio ("Resolve Medical," "we," "us," or "our").
By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform. Resolve Medical reserves the right to modify these Terms at any time. Your continued use of the Platform following any modification constitutes your acceptance of the revised Terms.
2. The Platform Does Not Provide Medical Advice
IntractMD™ does not provide medical advice, diagnosis, or treatment. All content is for informational and educational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.
Always seek the advice of your physician, pharmacist, or other qualified healthcare provider with any questions you may have regarding a medication, supplement, drug interaction, or any other medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on this Platform.
Do not stop taking any medication, change a dose, or start a new medication based solely on information from this Platform without first consulting a licensed healthcare professional.
3. Medical Emergencies
If you believe you or someone else is experiencing a medical emergency, including a drug overdose, allergic reaction, or adverse drug event, call 911 or your local emergency services immediately. Do not rely on this Platform in a medical emergency. This Platform is not monitored in real time and cannot dispatch emergency services.
For suspected drug poisoning or overdose, contact Poison Control at 1-800-222-1222. For counterfeit pill concerns, including pills suspected of containing illicit fentanyl, call 911 immediately and do not ingest the pill.
4. AI-Generated Content Disclosure
The Platform uses artificial intelligence, specifically large language model technology provided by Anthropic, PBC ("Claude AI"), to generate portions of the interaction analysis, drug information summaries, and patient outreach content. AI-generated content has inherent limitations and may reflect errors, omissions, outdated information, or misinterpretations of source data. The Platform's three-tier confidence architecture (HIGH, MEDIUM, LOW) is designed to communicate the relative reliability of each result, but even HIGH-confidence results should be verified by a licensed pharmacist or prescriber before any clinical action is taken.
5. Clinical Decision Support Classification
IntractMD™ is classified as a clinical decision support (CDS) tool intended to surface information for review by qualified healthcare professionals and informed consumers, not to make autonomous clinical decisions. Under current FDA guidance, clinical decision support software that presents information for human review is not classified as a medical device and is not required to obtain FDA clearance or approval.
6. Drug Interaction and Supplement Information — Limitations
The drug interaction, supplement, and food interaction information provided by this Platform is drawn from federal data sources including OpenFDA, NLM RxNorm, and MedlinePlus, supplemented by a pre-computed database of drug interaction records and AI-generated synthesis. You acknowledge and agree that:
- Drug interaction databases are incomplete. Not all interactions are known, documented, or included in any database.
- Supplement and herbal product interactions are particularly poorly documented. The absence of a warning does not mean an interaction does not exist.
- Individual patient factors including genetics, renal function, hepatic function, age, and body weight cannot be fully accounted for by this Platform.
- Drug databases may not reflect the most recent FDA safety communications, label changes, or newly identified interactions.
- Generic and brand-name formulations may differ in ways not captured by this Platform.
- The Platform covers medications primarily available in the United States.
7. No Endorsement of Specific Treatments or Products
Resolve Medical does not recommend or endorse any specific drug, supplement, food, medical device, test, physician, pharmacist, pharmacy, or clinical procedure mentioned on the Platform.
8. Accuracy, Completeness, and Timeliness Disclaimer
We make no representations or warranties of any kind about the accuracy, reliability, completeness, currentness, or timeliness of drug interaction risk scores, supplement and food warnings, pill identification results, drug information summaries, AI-generated outreach materials, or any other content generated or displayed by the Platform. Drug information changes rapidly and the Platform's data may not reflect the most recent developments.
9. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESOLVE MEDICAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESOLVE MEDICAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR PERSONAL INJURY, WRONGFUL DEATH, ADVERSE DRUG EVENTS, DRUG INTERACTIONS, MEDICATION ERRORS, LOST PROFITS, OR RELIANCE ON ANY PLATFORM CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
RESOLVE MEDICAL'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO RESOLVE MEDICAL IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND RESOLVE MEDICAL.
11. One-Year Limitation Period
Any claim or cause of action arising out of or relating to your use of the Platform must be filed within one (1) year after such claim or cause of action arose. If any such claim is not filed within this one-year period, it is permanently barred.
12. Pill Identifier — Special Disclaimer
The pill identifier feature is provided for reference purposes only and should never be the sole basis for ingesting, dispensing, or administering any pill. Generic drugs may have different imprints, colors, and shapes from reference entries in our database. Counterfeit pills may be manufactured to resemble legitimate pharmaceuticals and may contain dangerous or lethal substances including illicit fentanyl. No pill identification system can reliably identify counterfeit pills. Always confirm pill identification with a licensed pharmacist before ingesting any unknown pill.
13. Counterfeit Drug Warning
A pill that looks identical to a legitimate prescription medication may contain a lethal dose of fentanyl. Never ingest any pill not received directly from a licensed pharmacy with a valid prescription. If you suspect a counterfeit pill, call Poison Control (1-800-222-1222) or 911 immediately. Do not ingest the pill.
The Platform's identification of a pill as a specific medication is not a guarantee that the pill is authentic, uncontaminated, or safe to ingest. Resolve Medical expressly disclaims any liability for harm resulting from ingestion of a counterfeit or adulterated pill.
14. HIPAA and Privacy
IntractMD™ is designed to operate without collecting, storing, or transmitting Protected Health Information (PHI). The Platform processes medication information entered by users in real time and does not retain this information after a session ends. Because Resolve Medical does not collect or maintain PHI, a Business Associate Agreement (BAA) is not required for use of the patient-facing Platform. The Platform uses Google Analytics 4 for aggregate, non-identifiable usage tracking. No personally identifiable information is collected through Google Analytics.
15. Use of the Platform
You may use the Platform for lawful, personal, non-commercial purposes consistent with these Terms. Healthcare professionals and health plan representatives may use the Platform for clinical decision support purposes consistent with their professional obligations and these Terms. You agree that you will not attempt to reverse-engineer or decompile the Platform, use automated tools to extract data, interfere with Platform infrastructure, or misrepresent the source, accuracy, or clinical authority of information derived from the Platform.
16. Intellectual Property
The Platform and all content are owned by Resolve Medical, LLC or its licensors and are protected by United States and international intellectual property laws. IntractMD™ is a trademark of Resolve Medical, LLC. A provisional patent application has been filed with the United States Patent and Trademark Office covering the inventive methods and systems embodied in the Platform.
17. Third-Party Links and Resources
The Platform may contain links to third-party websites including the FDA, NLM, and MedlinePlus. These links are provided for informational purposes only. Resolve Medical is not responsible for third-party site content, and inclusion of any link does not imply endorsement.
18. Indemnification
You agree to defend, indemnify, and hold harmless Resolve Medical, LLC and its officers, directors, employees, agents, licensors, and suppliers from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your violation of these Terms, your use or misuse of the Platform, or your reliance on any Platform content in making a clinical or personal medication decision.
19. Modifications to These Terms
Resolve Medical reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the revised Terms.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Resolve Medical, LLC is a Delaware limited liability company, and the parties agree that Delaware law is the appropriate governing law for this agreement.
Any legal action or proceeding arising out of or related to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you hereby consent to personal jurisdiction and venue in such courts.
21. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall not be affected.
